Please also carefully review the advertising program terms in effect between you and Google. They require the use of binding arbitration to resolve disputes rather than jury trials or class actions. Please follow the instructions in those terms if you wish to opt out of those provisions.

Applicable Terms. Thank you for using Local Services by Google. Local Services is a platform provided by Google LLC located at 1600 Amphitheatre Parkway, Mountain View, California 94043, USA (“Google” or “we”) that connects advertisers with users. In these Local Services Additional Terms for Providers (“Local Services Additional Terms”), “you” means you, as the individual or entity using the Local Services platform and offering and providing Services (or you as the Customer using the platform on an Advertiser’s behalf, where such Advertiser is offering and providing Services), and “user” means your customer or end user. As further set forth in Section 6 of the Google Advertising Terms, references to you in these Local Services Additional Terms will also apply to Advertisers. Your use of the Local Services platform is governed by (A) the advertising program terms and conditions in effect between you and Google (“Google Advertising Terms”), (B) these Local Services Additional Terms, which are an addendum to the Google Advertising Terms, and (C) the Local Services Platform Policies at www.google.com/homeserviceads/policies, which may be revised by Google from time to time, (the “Local Services Platform Policies”). The Google Advertising Terms, Local Services Additional Terms, and the Local Services Platform Policies are collectively referred to as the “Terms,” and the Local Services Additional Terms and the Local Services Platform Policies are incorporated by reference into the Google Advertising Terms. Words or phrases that are capitalized but not defined in these Local Services Additional Terms are defined in the Google Advertising Terms. With respect to your Use of the Local Services platform, if any term or provision of these Local Services Additional Terms differs from a corresponding term or provision in the Google Advertising Terms, the term or provision in these Local Services Additional Terms will apply to Use of the Local Services platform. The Local Services platform is a “Program” as defined in the Google Advertising Terms. These Terms apply to you, your Team, and you and your Team’s provision of Services. Your “Team” means you, and your employees, contractors (including subcontractors), workers, representatives that provide Services.
To Use the Local Services platform, you must agree to the Terms. If you do not accept the Terms, you may not Use the Local Services platform.
If you use other Google products or services, then the terms for those other products or services will also apply. For example, if you use Google Pay for your Services, the Google Pay Terms of Service will apply in addition to these Terms. These Terms are separate from any additional terms that may apply between you and the third-party website through which you access the Local Services platform, and/or you and a user, and Google does not have any liability to you with respect to those terms. You agree that you will require your Team to comply with the Terms, and you are responsible if any of your Team does not comply with the Terms.
Local Services Content. You acknowledge and agree that your Local Services accounts and the data or content available on or provided in connection with such accounts, including any information provided as part of the Local Services onboarding process, may be linked to accounts for other Google products and services, including Business Profile on Google.
You hereby grant to Google an irrevocable, worldwide, royalty-free license to use any data, feeds, or other content that you submit in connection with Local Services (“Content”) (to the extent protected by intellectual property rights) in connection with Google’s or its Affiliates’ products and services for the maximum duration of such intellectual property rights under applicable law. You agree that Google may sublicense these rights to its Affiliates and contractors performing services for Google or its Affiliates and to Google’s and its Affiliates’ users so they can use such Content in connection with using Google’s or its Affiliates’ products and services.
If You submit Content containing URLs, Destinations, or similar content, You hereby grant to Google the right to, access, index, cache or crawl such URLs or Destinations and any available content. You agree that any such content collected by Google will be considered Content under these Local Services Additional Terms.
By using Local Services, you authorize Google to use any trademarks, service marks, trade names, proprietary logos, domain names and any other source or business identifiers in connection with Google's authorized use of Content.
You represent and warrant that you hold, and will maintain, the rights to grant the licenses and permissions set forth in this Section 3.
Program Requirements. Your Use of the Local Services platform must be in accordance with the Local Services Platform Policies, including the Minimum Provider Requirements as described in the Local Services Platform Policies. You must provide honest, complete, and accurate information in connection with the Local Services platform, including to third parties. All third-party verification processes are conducted solely to confirm compliance with the Minimum Provider Requirements, and are not used for any other purpose. You and your Team may be required to recertify your compliance with the Minimum Provider Requirements from time to time, as described in the Local Services Platform Policies. Your access to the Local Services platform may be denied if you fail to satisfy the Minimum Provider Requirements at any time. You agree to cooperate in the event Google or its partners seek to gather information about you, your Team, or your Services in order to verify your identity, confirm your compliance with Minimum Provider Requirements, for quality assurance purposes, or as required to operate the Local Services platform.
Disclosure to Third Parties. Google may disclose to users or other third parties information relating to your Use of the Local Services platform (for example, how often and how soon you respond to user messages, the number of repeat users you have, the average duration of your Service, number of Services performed, and feedback ratings and reviews, both positive and negative, on your performance). This information may also be made available on third-party websites.
Pricing and Payments. Google may make available to you various payment processing methods to facilitate the collection of fees for Services provided via the Local Services platform. You must abide by any relevant terms and conditions or other legal agreement, whether with Google or a third party, that governs your use of a given payment processing method. Google may add or remove payment processing methods at its sole discretion and without notice to you. Local Services platform pricing and related terms are described in the Local Services Platform Policies.
Access to Data in the Service. You authorize Google, its affiliates, and their agents to access, monitor, and record telephone calls, text messages, live chat, and other communications initiated through the Programs (e.g., click-to-call ads). You also will obtain the necessary permissions required under local law and will notify your Team that these communications may be recorded and will obtain their consent to the recordings. Google may use information collected under this paragraph in compliance with its Privacy Policy and as Content under Section 3 above.
User Satisfaction. A user’s satisfaction with your Services is solely your responsibility. Google may provide assistance to users who are dissatisfied with their experience on the Local Services platform, however ultimately it is up to you to resolve any disputes between you and your users. You agree that you, and not Google, are responsible for all claims made by a user or other person or entity against you or your Team in connection with your use of the Local Services platform and your provision of Services. Additionally, Google and its affiliates are not liable to you or your Team for any liabilities you may incur due to your provision of Services, including as may be caused by a user.
Indemnification and Limitation of Liability. The indemnification and limitation of liability provisions of the Google Advertising Terms apply to claims brought under these Terms. You will also defend, indemnify and hold harmless Google, its Partners, agents, affiliates, and licensors from any third-party claim or liability (including those made by users, third parties, and members of your Team) arising out of or related to (a) your breach of the GLS Terms, (b) your Content, or (c) your Team’s employment or relationship with you (in each case including those made by users, third parties, and members of your Team).
Employment. Employees of Google and its affiliates are prohibited from providing Services via the Local Services platform, serving on or contributing to your Team, or otherwise participating as a Service provider on the Local Services platform. You acknowledge that neither you nor any member of your Team are employees of Google, its affiliates, or any third-party adjudicator of Minimum Provider Requirements that are known to you, and you may not say or imply to anyone that you, or any of your Team, work for Google or a Google affiliate. You agree that nothing in these Terms or the conduct arising out of these Terms creates an employee relationship between you (or any member of your Team) and Google or any Google affiliate, nor are the Terms or the conduct arising out of these Terms intended to do so. You represent that at all times while performing the Services, each member of your Team is properly classified according to law.
