本 Google 顾客评价计划协议由 Google LLC.(一家在特拉华州注册的公司)与同意以下条款的实体(以下称“商家”)签订。本协议自您勾选“我已阅读并同意接受此协议”复选框并点击下面的“保存并继续”按钮之日(以下称“生效日期”)起生效。如果您是代表您的雇主或其他实体接受协议,则须声明并保证:(i) 您拥有充分的法定权力,可使您的雇主或相应实体接受这些条款及条件的约束;(ii) 您已阅读并理解本协议;(iii) 您代表相关方同意接受本协议。如果您没有法定权力使您的雇主或相应实体接受这些条款及条件的约束,请不要点击“我已阅读并同意接受此协议”复选框或下面的“保存并继续”按钮。这些条款可能会不时更新,您应定时查看这些条款。
Google 与顾客均同意接受《Google Ads Controller-Controller Data Protection Terms》的约束(网址为:https://privacy.google.com/businesses/controllerterms)。
双方达成如下协议:
A. “品牌特征”是指一方的商号、商标、徽标等特有品牌特征。
B. “机密信息”是指由某一方(或代表某一方)根据本协议(或在与本协议相关的情形下)向另一方披露的被标记为机密或在相应情形下通常被视为披露方机密信息的信息,但是机密信息不包括接收方已经知道的信息、并非因接收方的过失而被公开的信息、接收方独立开发的信息或由第三方合法提供给接收方的信息。
C. “最终用户”是指网站的最终个人用户。
D. “Google”是指 Google Inc. 及其关联公司。
E. “Google 隐私权政策”是指 Google 提供的隐私权政策(Google 会不时进行修订),具体内容目前可参阅隐私权政策。
F. “商家内容”是指呈现给最终用户的并非由 Google 提供的所有内容。
G. “服务”是指 Google 提供的、供商家根据本协议中双方达成的一致意见用在网站上的技术和内容。
H. “网站”是指位于商家不时向 Google 提供的网址上且经 Google 批准的网站。商家会不时以 Google 指定的方式向 Google 告知此类网址。
I. “网站交易”是指最终用户通过网站购买任何商品或服务的行为。
J. “交易信息”是指 Google 顾客评价计划准则(Google 会不时进行修订)中规定的适用信息,由 Google 负责提供。交易信息包括(但不限于)每笔网站交易的订单详细信息。
1. 发布和实现。
1.1. 在生效日期后,双方须本着诚实守信的原则合作,在网站上实现和发布服务,但双方均没有实现或发布服务的义务。
1.2. 商家将:(i) 是网站上实现了服务的所有页面在技术和内容编辑方面的决策者;并且 (ii) 有权控制在每个此类页面上实现服务的方式。
1.3. 商家应确保只在网站上实现和维护服务,且必须遵守 Google 顾客评价计划准则和政策(Google 会不时进行修订)。
2. 商家义务;交易信息。
2.1. 商家自身不得有下列行为,也不得故意或因疏忽而允许任何第三方有下列行为:
(a) 对 Google 提供的所有或部分服务(包括但不限于其中包含的任意 Google 品牌特征)进行修改、模糊处理或阻止其显示,但是以下情况除外:需要这样处理以将任意商品说明、详细信息、库存状况、定价或 Google 要求的其他信息添加到服务中;
(b) 在任何网站上显示以下商家内容:违反 Google 顾客评价计划准则和计划政策(Google 会不时进行修订)或适用于服务的其他任何要求或规范(Google 会不时向商家提供)的内容,或鼓励违反这些要求的内容。
2.2. 商家须根据 Google 顾客评价计划准则(Google 会不时进行修订)向 Google 提供每笔网站交易的交易信息。
2.3. 对于与 Google 产品或服务相关的交易信息,商家授予 Google 免版税、永久性、非独占的全球性许可,允许 Google 复制、分发、修改、创作衍生作品、公开表演、公开展示以及以其他方式使用该信息。Google 将根据 Google 隐私权政策使用交易信息中包含的最终用户的所有个人身份信息。
2.4. 商家须确保,在本协议有效期限内的任何时间,商家都会提供与网站有关的标记清晰且易于访问的隐私权政策,该隐私权政策须:(i) 向最终用户明确披露第三方可能会在最终用户的浏览器上放置和读取 Cookie,或使用网络信标或类似技术来收集与 Google 顾客评价计划有关的信息;(ii) 包含与最终用户 Cookie 管理选项有关的信息;(iii) 向最终用户明确披露 Google 可能会收到商家网站上所进行交易的相关信息。
2.5. 对于商家和 Google 而言,商家须对所有税务机构征收的与每笔网站交易相关的所有销售税或其他适用税项承担全部法律责任。
2.6. 在 Google 向用户发送任何电子邮件之前,商家须负责征得用户的同意(使用 Google 提供给商家的模板)。
2.7. Google 并未打算因商家参与本计划而产生履行《健康保险携带和责任法案》(可能会不时修订)(简称“HIPAA”)的义务,并且,Google 不保证 Google 顾客评价计划符合 HIPAA 的要求。如果您是(或成为了)HIPAA 中定义的适用实体或商业合作伙伴,您同意不以任何涉及受保护的健康信息的方式或因任何与此相关的目的而使用 Google 顾客评价计划,除非您事先得到 Google 针对此类使用的书面同意。
3. 知识产权;品牌特征。
3.1. 除本协议中另有明确规定的情况外,对属于一方或一方许可人的任何知识产权,另一方不享有任何权利、所有权或利益。
3.2. Google 可以使用和展示商家品牌特征,以宣传和推广 Google 顾客评价计划以及商家参与 Google 顾客评价计划的情况。除了为实现服务而根据第 1 条所必须授予的许可或权利外,Google 未在本协议中向商家授予与 Google 品牌特征有关的其他任何许可或权利。
4. 陈述与保证条款;免责声明;赔偿。
4.1. 各方声明并保证:(a) 其拥有充分的权力和授权来签订本协议;(b) 签订或履行本协议不会违反其与第三方的任何协议。
4.2. 商家声明并保证:(a) 商家在网站上提供或纳入到服务中的商品和服务说明、详细信息、库存状况、送货信息和定价将是最新、准确和完整的;(b) 商家拥有并将保有授予他人第 2.3 条中所述许可的所有必要权利,并且此类授予许可的行为和根据第 2.2 条提供交易信息的行为均符合适用的商家隐私权政策。Google 对于商家提供的任何此类信息或其他商家内容概不负责。
4.3. 除本协议此第 4 条中各方作出的明示保证之外,各方均不提供任何明示或默示保证,包括有关适销性、针对特定用途的适用性和无侵权行为的任何默示保证。
4.4. 对于以下情况导致的所有法律责任、损害和费用(包括和解费用),商家将给予 Google 赔偿、为 Google 辩护、使 Google 不遭受损害:(1) Google 因任何网站交易而需要针对任意最终用户或税务机构承担的法律责任;(2) 因下列情形导致或与下列情形相关的第三方索赔:(a) 任何商家内容、网站、交易信息或商家品牌特征;(b) 商家违反本协议。
5. 法律责任限制。
除 (1) 第 4.4 条规定的赔偿事项以及 (2) 违反第 6.1 条规定的保密条款这两种情形之外:(A) 对于收入损失或间接的、特殊的、附带的、继发的、惩戒性的或惩罚性损害赔偿,各方都不需要承担任何法律责任;(B) 任何一方对因本协议引起或与本协议相关的任何索赔承担的总法律责任均不超过 10000 美元。
6. 保密性;信息公开。
6.1. 任何机密信息的接收方均不得向他人(有必要知道该机密信息以及以书面形式同意对该机密信息保密的关联公司、员工和/或代理人除外)披露该机密信息。接收方必须确保上述人员和实体仅使用机密信息来根据本协议行使权利及履行义务,并对机密信息保密。接收方还可以在法律有要求的情况下披露机密信息,但必须(如果法律允许的话)提前给予披露方合理的通知,并让披露方有机会在机密信息披露之前寻求保密处理、保护令或类似补救或救济措施。
6.2. 除本协议中另有规定的情形外,任何一方未经另一方事先书面同意,不得就本协议发布任何公开声明。
7. 服务的撤消。
Google 可以随时自行决定立即撤消或终止服务。
8. 期限和终止。
8.1. 本协议将于生效日期开始生效,在根据其条款终止前都将一直有效。
8.2. 任何一方均可出于自身方便考虑,在通知另一方后立即终止本协议。
8.3. 本协议一旦终止,如果一方有要求,另一方须做出商业上合理的努力,以求立即将对方披露的所有机密信息退还给对方或销毁该信息并提供销毁证明。
9. 其他事项。
9.1. 遵守法律。双方在根据本协议履行义务和行使权利时必须遵守所有适用的法律、法规和条例。
9.2. 通知。一方的所有通知都必须以书面形式发送给另一方的法务部门和主要联系人。Google 法务部门用于接收通知的电子邮件地址是 legal-notices@google.com。在下列情形中,通知将被视为已送达:(a) 如果通过专人快递、隔夜快递或邮寄的方式寄送通知,提供书面收据加以证明;(b) 如果通过传真或电子邮件发送通知,提供自动回执或电子日志加以证明。
9.3. 转让;顾问和承包商。任何一方在未得到另一方的书面许可前都不得转让或转移本协议的任何部分,转让或转移给关联公司的情况除外,但仅限满足以下条件的情形:(a) 受让方书面同意遵守本协议达成的一致意见;(b) 转让方仍对本协议中规定的义务负有法律责任。其他任何试图转让或转移的行为都是无效的。Google 在根据本协议履行义务和行使权利时可以聘请顾问和其他承包商,前提是这些顾问和承包商必须承担与 Google 相同的义务。
9.4. 管辖法律。本协议受加利福尼亚州法律管辖,但不包括加利福尼亚州法律中有关法律选择规范。对于因本协议引起或与本协议相关的任何争议,各方同意加利福尼亚州圣克拉拉县法院拥有属人管辖权并是唯一管辖地。
9.5. 衡平法救济。本协议中的任何内容均不限制任何一方寻求衡平法救济的权利。
9.6. 完整协议;修订。本协议是双方就所议事项达成的完整协议,并取代之前或同期就该事项达成的所有协议。所有修订必须以书面形式进行并经双方签字确认,同时双方还须明确声明这是对本协议进行的修订。
9.7. 非弃权条款。未执行任何条款并不构成对权利的放弃。
9.8. 可分割性。如果发现本协议中有任何条款无法执行,则本协议的其余条款仍将完全有效。
9.9. 存续。在本协议终止后,第 2.3、2.5、3.1、4至6、8.3 和 9 条将继续有效。
9.10. 独立缔约方。双方均为独立缔约方,本协议不构成代理关系、合作伙伴关系或合资关系。
9.11. 无第三方受益人。本协议没有第三方受益人。
9.12. 不可抗力。如果超出一方合理控制能力范围的情况(例如自然灾害、战争或恐怖主义、暴动、劳动条件、政府行为和互联网故障)造成该方未能充分履约,该方无需承担法律责任。
Google Customer Reviews Program Agreement
This Google Customer Reviews Program Agreement is entered into by and between Google LLC, organized in the state of Delaware, and the entity agreeing to these terms (“Merchant”). This agreement will be effective as of the date you check the “I have read and agree to this Agreement” box and click the “Save and continue” button below (the “Effective Date”). If you are accepting on behalf of your employer or another entity, you represent and warrant that (i) you have full legal authority to bind your employer or such entity to these terms and conditions, (ii) that you have read and understand this agreement, and (iii) that you agree, on behalf of the party that you represent, to this agreement. If you don't have the legal authority to bind, please do not click the “I have read and agree to this Agreement” box or click the “Save and continue” button below. These terms may be updated from time to time. You should look at these terms regularly.
Google and Customer agree to the Google Ads Controller-Controller Data Protection Terms at https://privacy.google.com/businesses/controllerterms.
The parties agree as follows:
A. “Brand Features” means a party’s trade names, trademarks, logos and other distinctive brand features.
B. “Confidential Information” means information disclosed by (or on behalf of) one party to the other party under (or in connection with) this agreement that is marked as confidential or would normally under the circumstances be considered confidential information of the disclosing party, but, Confidential Information does not include information that the recipient already knew, that becomes public through no fault of the recipient, that was independently developed by the recipient or that was lawfully given to the recipient by a third party.
C. “End Users” means individual human end users of a Site.
D. “Google” means Google Inc. and its affiliates.
E. “Google Privacy Policy” means the privacy policy made available by Google (as amended by Google from time to time), currently located at Privacy Policy.
F. “Merchant Content” means any content served to End Users that is not provided by Google.
G. “Services” means the technology and content provided by Google for inclusion in the Site(s) by Merchant in accordance with the Agreement of this agreement.
H. “Site(s)” means the Web site(s) located at the URL(s) indicated by Merchant to Google from time to time, and approved by Google. Merchant will notify Google of such URL(s) via the method(s) instructed by Google from time to time.
I. “Site Transaction” means any purchase of a product or service by an End User via the Site(s).
J. “Transaction Information” means the applicable information set forth in the Google Customer Reviews Program Guidelines (as amended by Google from time to time) made available by Google. The Transaction Information will include (but is not limited to) the order details for each Site Transaction.
1. Launch and Implementation.
1.1. Following the Effective Date, the parties will work together in good faith to implement and launch the Services on the Site(s), however neither party will be required to implement or launch the Services.
1.2. Merchant will: (i) be the technical and editorial decision-maker in relation to each page of the Site(s) on which the Services are implemented; and (ii) have control over the way in which the Services are implemented on each of such pages.
1.3. Merchant will ensure that the Services are implemented and maintained only on the Site(s), and only in accordance with the Google Customer Reviews Program Guidelines and Policies (as amended by Google from time to time).
2. Merchant Obligations; Transaction Information.
2.1. Merchant will not, and will not knowingly or negligently allow any third party to:
(a) modify, obscure or prevent the display of all or any part of the Services as provided by Google (including but not limited to any Google Brand Features included therein), except as necessary to incorporate into the Services any product descriptions, details, availability, pricing, or other information requested by Google; or
(b) display on any Site any Merchant Content that violates or encourages conduct that would violate the Google Customer Reviews Program Guidelines and Program Policies (as amended by Google from time to time) or any other requirements or specifications applicable to the Services that are provided to Merchant by Google from time to time.
2.2. Merchant will provide to Google the Transaction Information for each Site Transaction in accordance with the Google Customer Reviews Program Guidelines (as amended by Google from time to time).
2.3. Merchant grants to Google a royalty-free, perpetual, nonexclusive, worldwide license to copy, distribute, modify, create derivative works based on, publicly perform, publicly display, and otherwise use the Transaction Information in connection with Google products or services. Google will use any personally identifiable information of End Users contained in the Transaction Information in accordance with the Google Privacy Policy.
2.4. Merchant will ensure that at all times during the term of this agreement, Merchant has a clearly labeled and easily accessible privacy policy in place relating to the Site(s) and that this privacy policy: (i) clearly discloses to End Users that third parties may be placing and reading cookies on End Users’ browsers, or using web beacons or similar technologies to collect information in connection with the Google Customer Reviews program; (ii) includes information about End Users’ options for cookie management; and (iii) clearly discloses to End Users that Google may receive information about transactions conducted on Merchant’s Site(s).
2.5. As between Merchant and Google, Merchant will be solely liable for any sales or other applicable tax(es) imposed by any taxing authority in connection with each Site Transaction.
2.6. Merchant will be responsible for obtaining consent from users before Google sends any email to users, using the template(s) provided by Google to Merchant.
2.7. Google does not intend Merchant's participation in the Program to create obligations under the Health Insurance Portability and Accountability Act, as amended, (“HIPAA”), and makes no representations that the Google Customer Reviews program satisfies HIPAA requirements. If you are (or become) a Covered Entity or Business Associate under HIPAA, you agree not to use the Google Customer Reviews program for any purpose or in any manner involving Protected Health Information unless you have received prior written consent to such use from Google.
3. Intellectual Property; Brand Features.
3.1. Except to the extent expressly stated otherwise in this agreement, neither party will acquire any right, title or interest in any intellectual property belonging to the other party, or to the other party’s licensors.
3.2. Google may use and display Merchant Brand Features for purposes of marketing and promoting the Google Customer Reviews program and Merchant’s participation in the Google Customer Reviews program. Except as necessary for the implementation of the Services in accordance with Section 1, no license or rights are granted under this agreement by Google to Merchant with respect to Google Brand Features.
4. Representations and Warranties; Disclaimers; Indemnification.
4.1. Each party represents and warrants that: (a) it has full power and authority to enter into this agreement; and (b) entering into or performing under this agreement will not violate any agreement it has with a third party.
4.2. Merchant represents and warrants that: (a) the product and service descriptions, details, availability, shipping information and pricing provided by Merchant in the Site(s) or incorporated in the Services will be current, accurate and complete; and (b) it has and will retain all necessary rights to grant the license in Section 2.3, and such license grant and provision of the Transaction Information in accordance with Section 2.2 complies with Merchant’s applicable privacy policy. Google is not liable in any way for any such information or other Merchant Content provided by Merchant.
4.3. EXCEPT FOR THE EXPRESS WARRANTIES MADE BY THE PARTIES IN THIS SECTION 4, THE PARTIES DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT.
4.4. Merchant will indemnify, defend, and hold harmless Google from and against all liabilities, damages, and costs (including settlement costs) arising out of: (1) Google’s liability to any End User or any taxing authority in respect of any Site Transaction; or (2) a third-party claim arising from or in connection with: (a) any Merchant Content, Site(s), Transaction Information or Merchant Brand Features; or (b) Merchant’s breach of this agreement.
5. Limitations of Liability.
EXCEPT FOR (1) INDEMNITIES UNDER SECTION 4.4, AND (2) BREACHES OF CONFIDENTIALITY UNDER SECTION 6.1: (A) NEITHER PARTY WILL BE LIABLE FOR LOST REVENUES OR INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, AND (B) NEITHER PARTY’S AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THIS AGREEMENT WILL EXCEED $10,000.
6. Confidentiality; Publicity.
6.1. The recipient of any Confidential Information will not disclose that Confidential Information, except to affiliates, employees, and/or agents who need to know it and who have agreed in writing to keep it confidential. The recipient will ensure that those people and entities use Confidential Information only to exercise rights and fulfill obligations under this agreement and keep the Confidential Information confidential. The recipient may also disclose Confidential Information when required by law after giving the discloser reasonable notice and the opportunity to seek confidential treatment, a protective order or similar remedies or relief prior to disclosure, in each case if permitted by law.
6.2. Except as set forth in this Agreement, neither party will issue any public statement regarding this agreement without the other party’s prior written approval.
7. Withdrawal of Services.
Google may withdraw or terminate the Services at any time immediately at Google’s sole discretion.
8. Term and Termination.
8.1. This agreement will begin on the Effective Date and remain in effect until terminated in accordance with its terms.
8.2. Either party may terminate this agreement for convenience immediately upon notice to the other party.
8.3. Upon termination of this agreement, if requested, each party will use commercially reasonable efforts to promptly return to the other party, or destroy and certify the destruction of, all Confidential Information disclosed to it by the other party.
9. Miscellaneous.
9.1. Compliance with Laws. Each party will comply with all applicable laws, rules, and regulations in fulfilling its obligations and exercising its rights and performing its obligations under this agreement.
9.2. Notices. All notices will be in writing and addressed to the attention of the other party's Legal Department and primary point of contact. The email address for notices being sent to Google’s Legal Department is legal-notices@google.com. Notice will be deemed given (a) when verified by written receipt if sent by personal courier, overnight courier, or mail; or (b) when verified by automated receipt or electronic logs if sent by facsimile or email.
9.3. Assignment; Consultants and Contractors. Neither party may assign or transfer any part of this agreement without the written consent of the other party, except to an affiliate but only if: (a) the assignee agrees in writing to be bound by the Agreement of this agreement, and (b) the assigning party remains liable for obligations under this agreement. Any other attempt to transfer or assign is void. Google may use consultants and other contractors in connection with the performance of obligations and exercise of rights under this agreement, provided that such consultants and contractors will be subject to the same obligations as Google.
9.4. Governing Law. This agreement is governed by California law, excluding California’s choice of law rules. FOR ANY DISPUTE ARISING OUT OF OR RELATING TO THIS AGREEMENT, THE PARTIES CONSENT TO PERSONAL JURISDICTION IN, AND THE EXCLUSIVE VENUE OF, THE COURTS IN SANTA CLARA COUNTY, CALIFORNIA.
9.5. Equitable Relief. Nothing in this agreement will limit either party’s ability to seek equitable relief.
9.6. Entire Agreement; Amendments. This agreement is the parties’ entire agreement relating to its subject and supersedes any prior or contemporaneous agreements on that subject. Any amendment must be in writing signed by both parties and expressly state that it is amending this agreement.
9.7. No Waiver. Failure to enforce any provision will not constitute a waiver.
9.8. Severability. If any provision of this agreement is found unenforceable, the balance of this agreement will remain in full force and effect.
9.9. Survival. Sections 2.3, 2.5, 3.1, 4 through 6, 8.3, and 9 will survive any termination of this agreement.
9.10. Independent Contractors. The parties are independent contractors and this agreement does not create an agency, partnership, or joint venture.
9.11. No Third Party Beneficiaries. There are no third-party beneficiaries to this agreement.
9.12. Force Majeure. Neither party will be liable for inadequate performance to the extent caused by a condition (for example, natural disaster, act of war or terrorism, riot, labor condition, governmental action, and Internet disturbance) that was beyond the party’s reasonable control.
